Terms of service
The short version: you sell your content, we settle the payments that pay you, and you prepay our fee. The full terms are below.
1. Who these terms are between
These terms are an agreement between you and Tav IT, trading as Penni (Noordervesting 4, 1135 CL Edam, the Netherlands; KvK 74592173; "Penni", "we"). Penni is offered to businesses and professionals, not to consumers.
2. What Penni does
Penni provides a dashboard to configure prices for your websites and APIs, and a facilitator that verifies and submits x402 payments to a blockchain. Payments go directly from the payer to the wallet you configure. Penni does not hold, transmit or exchange funds on your behalf and is not a party to the sale between you and your customers.
3. Your account
You are responsible for keeping your login details and site API keys secret and for everything done with them. Tell us right away if you suspect misuse. You are responsible for the wallet addresses you enter; payments to a wrong address cannot be reversed.
4. Fees and credits
- Each successful settlement costs the fee shown on our pricing page, currently €0.002 (€0.001 on Cardano), deducted from your prepaid credits.
- Verifications and failed settlements are free.
- Credits do not expire. When you close your account, unused credits are paid out by bank transfer to the IBAN linked to your account; if none is linked, you provide one when closing.
- We may change the fee with at least 30 days' notice by email. Credits you already bought keep their euro value.
- Prices exclude VAT. Dutch customers are charged 21% VAT; EU businesses with a VAT number confirmed in VIES are invoiced under the reverse-charge rule; outside the EU no Dutch VAT applies. Each top-up is invoiced when paid.
5. Acceptable use
You won't use Penni to sell anything illegal, to receive the proceeds of crime, or for content that infringes the rights of others. You are responsible for complying with the laws that apply to what you sell, including tax and consumer law. We may suspend sites that break these rules.
6. Availability
We work hard to keep Penni available, but we don't guarantee uninterrupted service. Blockchains and token issuers are outside our control. When the facilitator is unavailable, your integration should not serve paid content as paid.
7. Liability
Our total liability is limited to the fees you paid us in the 12 months before the claim. We are not liable for indirect damage, lost profit, or losses caused by blockchains, token issuers, wallets or your own integration. Nothing in these terms limits liability for intent or gross negligence.
8. Ending the agreement
You can close your account at any time. We can end the agreement with 30 days' notice, or right away if you seriously break these terms.
9. Law
Dutch law applies. Disputes go to the competent court in Amsterdam.
